A transponder key has a small microchip embedded in the plastic head. When you turn the ignition, the car's immobilizer sends a signal to the chip. If the chip doesn't respond with the right code, the engine won't start even if the blade cut is correct.
My dealer quoted $350. Is $160 really accurate?

Does programming a replacement key void my warranty?
No. Programming a replacement key does not affect your vehicle's factory warranty. The Magnuson-Moss Warranty Act prevents manufacturers from voiding warranties because you used an independent service for non-warranty work.
